# Early Supply — Auction Terms (DRAFT)

This is the single most protective document for the business: it defines that a
bidder is buying information and an introduction, not a property, a guarantee, or
professional advice.

## 1. What you are buying
Early Supply auctions **leads**. A lead is information, derived from public records,
about an off-market property that may be heading for sale, plus, for the winning
bidder only, the fuller property, ownership, and contact detail. You are **not**
buying the property, a listing, a brokerage service, title, or any interest in real
estate, and you are not receiving legal, tax, financial, or investment advice.

## 2. No guarantee
Early Supply makes **no representation or warranty** that any property is or will
become available for sale, that the owner will engage or transact, that the property
is buildable or free of restrictions, or that the lead has any particular value or
will produce any return. Information is provided **as is**, without warranty of any
kind. Public records can be incomplete, delayed, or in error.

## 3. Your own due diligence
The winning bidder is solely responsible for independently verifying everything
before acquiring or acting on any property, including title and liens, probate or
estate status, zoning and permitted use, subdivision potential, environmental
conditions (including underground tanks, asbestos, and lead), flood and wetlands
designations, historic-district or landmark status, and physical condition. Early
Supply does not perform this diligence for you.

## 4. Bidding and payment
- Each lot has one winning bidder: the highest bid at or above any reserve when the
  auction closes. A bid placed in the final minutes may extend the close.
- **Bids are binding offers.** The winning bid is due immediately at close. When card
  payment is enabled, your card on file is charged automatically at close.
- Because the lead detail is released to the winner at close, **all sales are final
  and non-refundable** once the detail is released.
- Early Supply may set or waive a reserve, cancel, postpone, or relist any lot, and
  refuse or remove any bidder, at its discretion.

## 5. Use of the lead
The lead and its detail are licensed to the **winning bidder only**. You may not
resell, republish, or share the lead or its underlying detail. You agree to use it
lawfully and respectfully: for estate-sourced leads, appropriate first contact is a
letter to the estate attorney or executor, not a cold call to a grieving family. You
agree to comply with all applicable laws, including Do-Not-Call rules, fair-housing
law, and New Jersey data-privacy law (including Daniel's Law).

## 6. No brokerage or professional relationship
Early Supply is not a licensed real-estate broker, attorney, or financial adviser,
and nothing here creates a brokerage, agency, fiduciary, or advisory relationship.
No commission or referral fee is paid or received on any resulting transaction.

## 7. Limitation of liability and indemnification
To the fullest extent permitted by law, Early Supply's total liability for any lead
is limited to the amount you paid for that lead. Early Supply is not liable for any
indirect, incidental, or consequential damages. You agree to indemnify Early Supply
against claims arising from your use of a lead or your dealings with any owner,
estate, or property.

## 8. Governing law
These terms are governed by the laws of the State of New Jersey.
